Terms of Service
Last updated: 1st September 2026 · Effective immediately upon account creation or electronic acceptance.
Vendors operating a store on ORDA are also subject to the ORDA Vendor Agreement, which governs Verification, the Discover directory, and Freebie Drops in detail.
1. About ORDA
ORDA is a Nigerian e-commerce platform that enables independent vendors to create online storefronts, list products, receive orders, and connect with customers. ORDA is operated as a Software-as-a-Service (SaaS) product available via monthly subscription at orda.com.ng.
ORDA is a marketplace platform only. ORDA is not a party to any transaction between a vendor and their customers, and is not a buyer, seller, agent, or guarantor for any product or service listed on the platform.
By creating an account on ORDA, you agree to these Terms of Service and our Privacy Policy in full. If you do not agree, please do not use the platform.
2. Vendor Accounts
- You must provide accurate, truthful, and complete information when creating your account, including your full legal name, a valid email address, and a reachable WhatsApp/phone number. Providing false information is grounds for suspension or permanent termination.
- You are responsible for keeping your login credentials confidential. ORDA is not liable for losses arising from unauthorised access due to your negligence.
- Each vendor may operate one storefront per account. You may not create multiple accounts to circumvent subscription limits or platform policies.
- You must promptly notify ORDA of any material change to your business, legal status, or circumstances that may affect your account or Verified status.
- ORDA reserves the right to suspend or terminate accounts that violate these Terms, engage in prohibited conduct, or cause harm to other users or the platform.
3. Store Slugs & Subdomains
- Your store slug/subdomain (e.g.,
yourbrand.orda.com.ng) is chosen during signup and cannot be changed after account creation. Choose carefully. - ORDA reserves the right to reclaim slugs/subdomains that are inactive for more than 90 days, or that violate naming policies (e.g., impersonating a brand or person, using offensive language).
4. Products & Listings
- You are solely responsible for the accuracy of your product listings, including names, descriptions, prices, and availability. Listings must accurately reflect what is delivered to customers in terms of description, quality, quantity, and condition.
- You must not list counterfeit goods, stolen items, illegal products, or anything that violates Nigerian law or the intellectual property rights of third parties.
- ORDA may remove listings that violate these Terms without prior notice. Vendors who consistently deliver products that do not match their listings are subject to investigation, suspension, or removal from the platform.
5. Orders & Payments
- Orders placed through ORDA are direct transactions between the vendor and the customer. ORDA is not a party to the sale.
- Payment processing is handled by Paystack. By using ORDA, you agree to Paystack's Terms of Service.
- ORDA does not hold customer funds. Payments go directly to the vendor's Paystack account, subject to Paystack's settlement schedule.
- Vendors are responsible for handling refunds, disputes, and customer complaints professionally and in accordance with Nigerian consumer protection law.
- Submitting false, altered, or fabricated payment receipts or transfer proofs to any party is prohibited conduct and may result in immediate account termination.
6. Subscription
- Access to ORDA's full features, including Discover directory eligibility and Freebie Drops, requires an active paid subscription or a valid trial period. Current pricing is displayed in your vendor dashboard.
- Subscriptions are billed via Paystack. You may cancel at any time through your dashboard; cancellation takes effect at the end of the current billing period.
- ORDA reserves the right to change subscription pricing with at least 14 days' notice to active subscribers.
- If your subscription lapses, your storefront will be set to static, customers will not be able to place orders and your Discover listing (if active) will be suspended until you renew. Your data is retained for 60 days before deletion.
7. ORDA Verified
ORDA Verified is a badge displayed on your store profile confirming that ORDA has completed an identity and business review. It is not a guarantee of product quality or order fulfilment.
- Verification requires submission of identity and business information for ORDA's review. ORDA may request additional information or confirmation at its discretion.
- All information submitted during Verification must be accurate and truthful. Providing false information is grounds for rejection, suspension, or permanent account termination.
- ORDA's decision on Verification may be Verified, Rejected, or Resubmission Required.
- ORDA Verified status does not automatically grant Discover directory placement. Verification and Discover are evaluated independently.
- ORDA may suspend or revoke your Verified status at any time for legitimate platform, trust, or safety reasons. If your Verified status lapses or is revoked, you must stop displaying the ORDA Verified badge immediately.
8. Discover Directory
The Discover directory is the publicly accessible section of ORDA where approved stores are listed and customers can browse and contact them.
- Discover status is granted independently from Verification. Being ORDA Verified does not automatically place you in Discover.
- To appear in Discover, ORDA must have explicitly enabled and approved your Discover listing, your store must not be suspended, and you must hold an active subscription or valid trial.
- Your position in Discover is set entirely by ORDA. Ranking may be pinned, featured, custom-ranked, or standard. You cannot purchase or negotiate your ranking position. Customer ratings and order counts appear as display badges only and are not used as ranking factors.
- ORDA may approve, reject, suspend, or permanently remove your Discover listing at any time for legitimate platform, trust, or safety reasons. Removal from Discover does not on its own close your store account.
9. Freebie Drops
Freebie Drops is a promotional feature created, funded, and managed entirely by ORDA. Vendors do not create, edit, or fund Freebie Drop campaigns.
- ORDA designs and assigns Freebie Drop campaigns to participating vendor stores, specifying the freebie label, total quantity, minimum order amount, and campaign dates. ORDA covers the cost of the freebie items.
- When a campaign is active, a freebie banner appears automatically on your storefront when a customer's cart meets the minimum order amount.
- As the vendor, you are responsible for coordinating the physical delivery of freebie items to customers as part of their order fulfilment. Failure to deliver advertised freebies is prohibited conduct under Section 10.
- You must notify ORDA promptly if you are unable to continue fulfilling a campaign so ORDA can pause or end it before further reservations are created.
- ORDA may pause, modify, or remove a Freebie Drop assigned to your store at any time, including in response to customer complaints or a breach of these Terms.
- Freebie Drops are available to vendors on an active subscription or valid trial only.
10. Prohibited Conduct
The following are strictly prohibited and may result in immediate suspension or permanent removal from the platform:
- Creating, soliciting, or facilitating fake orders or fake reviews.
- Submitting false, altered, or fabricated payment receipts or transfer proofs to any party.
- Impersonating another business, person, or brand.
- Making false or misleading statements about products, delivery timelines, or your business.
- Listing or selling products that are unlawful under Nigerian law or prohibited by ORDA's platform policies.
- Abusive, threatening, or harassing conduct towards customers, ORDA staff, or other vendors.
- Using customer personal data for any purpose other than fulfilling their order.
- Attempting to manipulate rankings, reviews, or any platform feature through artificial or deceptive means.
11. Suspension, Removal & Termination
ORDA may suspend, remove from Discover, or permanently terminate your account where you have materially breached these Terms, provided false or misleading information, engaged in prohibited conduct, received a substantiated complaint following investigation, or posed a risk to the safety, trust, or integrity of the platform or its users.
Except where immediate action is required to prevent ongoing fraud or harm, ORDA will notify you of any proposed action and give you at least 48 hours to respond before a final decision is made. You may request a written review within 14 days of any adverse decision.
12. Privacy & Data
ORDA collects and processes vendor and customer data to operate the platform, administer Verification, prevent fraud, and comply with applicable Nigerian law, including the Nigeria Data Protection Act 2023. Full details are in our Privacy Policy.
Vendors are solely responsible for ensuring their own handling of customer data complies with applicable Nigerian law, including the Nigeria Data Protection Act 2023.
13. Intellectual Property
All ORDA trade names, logos, badges, and marks are ORDA's property. While you hold active ORDA Verified status, you may display the ORDA Verified badge on your store profile as provided by the platform. You must not use ORDA's branding to imply a deeper endorsement than these Terms grant, and you must stop displaying the badge if your Verified status lapses, is suspended, or is revoked.
You retain ownership of content you upload to ORDA. By uploading it, you grant ORDA a non-exclusive, royalty-free licence to display and use that content to operate the platform.
14. Limitation of Liability
ORDA provides the platform “as is” and makes no warranties regarding uptime, accuracy of vendor listings, or fulfilment of orders. ORDA Verified and Discover statuses do not certify the quality, safety, or authenticity of products, a vendor's ability to fulfil orders, or customer satisfaction.
To the maximum extent permitted by Nigerian law, ORDA's liability to you is limited to direct losses caused by ORDA's own breach of these Terms. ORDA is not liable for indirect or consequential losses, vendor conduct, payment failures, delivery issues, or platform downtime.
15. Governing Law & Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. In the event of a dispute, both parties agree to first attempt good-faith negotiation for 30 days. If unresolved, disputes shall be submitted to the jurisdiction of the courts of Rivers State, Nigeria.
16. Changes to These Terms
ORDA may update these Terms from time to time. We will give at least 14 days' notice of material changes by posting the updated Terms on the platform or notifying you by email. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
If you do not accept a material amendment, you may notify ORDA before the effective date and request deactivation of your account or Verified status. ORDA will not hold you bound by terms you rejected before they took effect.
